This Penn Central Stock Certificate was issued in 1969. Penn Central Transportation Company (Penn Central) was formed in 1968 with the merger of the Pennsylvania Railroad and the New York Central Railroads. In 1969 the New York, New Haven & Hartford Railroad was merged into the Penn Central.

The new company was in bankruptcy by 1970 and by 1974 the U.S. Government had formed the Consolidated Rail Corp. or Conrail to take over and nationalize many railroads which started with the Penn Central Company. The Penn Central Company, however still did exists as a real estate holding company.
