From the late 1990s into 2001, aggressive off-balance-sheet financing and questionable accounting—such as SPVs and mark-to-market valuations—masked real liabilities and overstated earnings. Under CEO Jeffrey Skilling and CFO Andrew Fastow, many obligations stayed off the books. The company filed for bankruptcy in December 2001, harming employees and investors and prompting investigations of senior leaders. The collapse also ended Arthur Andersen’s role as auditor and helped drive major reforms like the 2002 Sarbanes–Oxley Act to strengthen corporate governance and financial transparency.
