In the late 1990s through 2001, aggressive off-balance-sheet arrangements and questionable accounting—like SPVs and mark-to-market methods—hid true liabilities and inflated earnings. Guided by CEO Jeffrey Skilling and CFO Andrew Fastow, many obligations remained undisclosed. The firm collapsed in December 2001, devastating workers and investors and triggering probes of senior leadership. The failure also ended Arthur Andersen’s role as auditor and helped spur sweeping reforms such as the 2002 Sarbanes–Oxley Act to tighten corporate governance and financial reporting.
